Training objectives
- Objective of the course is learning the rules of business and companies, including in the operational aspects .
At the end of the course the student is able to understand and solve legal problems in the framework of the enterprise management in individual and corporate form. Prerequisites
- Admission is subject to passing the course of Private law. Knowledge of general contract law is requested.
Course programme
- Part I (12 hours): The enterprise and its legislation. - 1. The entrepreneur: concept, categories and status. - 2. The goodwill and its transfer.
Part II (12 hours): - 1. The companies: general concepts - 2. The partnership.
Part III (15 hours): The limited company. - 1. Constitution; provisions and capital. - 2. Financial structure: stocks, bonds and financial instruments. - 3. The governance: board meeting; administration and supervision. - 4. The structural changes: statutory changes and termination. - 5. - Special operations: transformation, merger and division, dissolution.
Part IV (3 hours): Limited Liability Company. - 1. Constitution, heritage and shares. - 2. Corporate governance: general meeting; administrative body, directors; audit and other controls. - 3. Statutory Changes and Termination.
Part V (3 hours): Cooperatives. - 1. The mutual goal and the principle of the open door. - 2. The financial structure. - 3. The governance.
Part VI (11 hours): Credit instruments. - 1. In general. - 2. A bill of exchange. - 3. The check. Didactic methods
